1. Agreement to Terms

By accessing or using CatalogBridge (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

CatalogBridge provides an online platform for converting European automotive parts data from CSV format to US ACES/PIES XML standards. The Service includes:

  • Single file and batch conversion capabilities
  • Multi-language support (German, French, Spanish, English)
  • API access for programmatic conversions
  • Conversion history and analytics

3. Account Registration

To use certain features of the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be responsible for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Pricing and Payment

4.1 Pricing Structure

  • Pay-per-use: $0.35 per part converted
  • Minimum charge: $7.00 per conversion session
  • Enterprise plans available upon request

4.2 Payment Terms

  • Payment is required before conversion processing
  • All payments are processed securely through Stripe
  • Prices are in USD and exclude applicable taxes
  • We reserve the right to modify pricing with 30 days notice

4.3 Refunds

Refunds may be issued at our discretion for:

  • Service failures resulting in unusable output
  • Duplicate charges or billing errors
  • Other circumstances as determined case-by-case

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious files or code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without permission
  • Use automated systems to abuse the Service

6. Intellectual Property

6.1 Your Content

You retain all rights to the data you upload. By using the Service, you grant us a limited license to process your data solely for providing the conversion service.

6.2 Our Property

The Service, including its original content, features, and functionality, is owned by CatalogBridge and protected by international copyright, trademark, and other intellectual property laws.

7. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

We process uploaded files for the purpose of conversion and generally implement measures to manage data appropriately after processing is complete.

8. Disclaimers and Limitations of Liability

8.1 Service Provided “AS IS”

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

IN NO EVENT SHALL CATALOGBRIDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Maximum Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless CatalogBridge and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload or process

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Suspected fraudulent or illegal activity
  • Extended period of inactivity

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings.

11. API Terms

If you use our API services, you additionally agree to:

  • Not exceed rate limits or abuse the API
  • Properly secure and not share API keys
  • Include appropriate attribution when required
  • Comply with our API documentation and guidelines

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
